Shareholders' meetings of listed companies

The case of Lingotes Especiales

Lingotes Especiales is a publicly traded company dedicated to the design, development, foundry, machining, and assembly of gray and spheroidal iron parts. It was founded in 1968 and went public in March 1989. In 2006, it moved to the Continuous Market and has since been part of the “IBEX SMALL CAP” index on the Madrid and Barcelona Stock Exchanges.

Since 2023, Lingotes Especiales has trusted Kuorum to digitalize its shareholder meetings. Kuorum’s technology enables them to digitize the shareholder registry, issue access cards, facilitate early and proxy voting, send invitations and control access, calculate the quorum, host a shareholders’ forum, and manage questions to the board of directors via videoconference.

Individual and Custodian Shareholder Registration

Kuorum's shareholder registration forms allow publicly traded companies to collect information from their individual shareholders weeks before the event, in compliance with the regulatory requirements of the Capital Companies Act. This data is cross-checked with the BME files to verify the authenticity of share ownership.

It is also possible to automatically upload information from custodians and the client's shareholder ledger. In this way, Investor Relations departments save valuable time by eliminating the need to manually transcribe all the data.

Right of Attendance and Voting

One of the biggest challenges in organizing shareholder meetings of a publicly traded company is managing early and proxy voting. Discrepancies among various data sources cause significant headaches for event organizers. Thanks to Kuorum, the client has a centralized dashboard that monitors, in real time, all key metrics: early voting, proxy voting, and quorum calculation.

On the day of the meeting, voting kiosks can be installed near the access control points. It is also possible to allow shareholders to vote on different agenda items as they are presented. No one knows their shareholders better than the client. That’s why Kuorum offers different participation flows, allowing each client to choose the one that best fits their needs.

Right to Information and Forum

Both the forum and the question-and-answer (Q&A) system are regulatory requirements to ensure the right to information and participation in shareholder meetings. While other systems merely meet legal requirements without considering the real usefulness of these features, Kuorum’s notification system and integrations with the most widely used videoconferencing systems have marked a turning point in the operations of publicly traded companies.
